SELLERBASE ACCEPTABLE USE POLICY

1. INTRODUCTION
This Acceptable Use Policy ("AUP") governs Customer's use of the Sellerbase platform and data services. This AUP is incorporated into and forms part of the Sellerbase Terms of Service (the "Terms"). Capitalized terms used but not defined in this AUP have the meanings given in the Terms.
By accessing or using the Platform or Data, Customer agrees to comply with this AUP. Sellerbase reserves the right to update this AUP from time to time in accordance with the modification provisions in the Terms.
2. GENERAL PROHIBITIONS
Customer shall not, and shall not permit any third party to, engage in the following activities:
2.1 Illegal Activity
Using the Platform or Data for any purpose that violates applicable local, national, or international law or regulation.
2.2 Unauthorized Access
Attempting to gain unauthorized access to any accounts, computer systems, networks, or data, including any attempt to probe, scan, or test the vulnerability of the Platform or to breach any security or authentication measures.
2.3 Security Interference
Interfering with, disabling, or circumventing any security features, access controls, rate limits, or other protective measures of the Platform.
2.4 System Abuse
Taking any action that disrupts, overloads, or impairs the proper functioning or performance of the Platform, including denial-of-service attacks or similar interference.
2.5 Reverse Engineering
Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code, underlying algorithms, or structure of the Platform, except to the extent expressly permitted by applicable law.
2.6 Misrepresentation
Falsely claiming ownership of Data, misrepresenting the source of Data, or removing or altering any proprietary notices or attributions.
3. DATA USAGE PROHIBITIONS
Customer shall not use Data in any of the following ways:
3.1 Resale
Selling, licensing, renting, or otherwise distributing Data as a standalone product, database, or data service.
3.2 Competing Products
Using Data to create, develop, train, enhance, or operate any products, services, or databases that compete with Sellerbase or its services.
3.3 Bulk Extraction
Systematically downloading, extracting, or copying Data in quantities that exceed the limits specified in Customer's Order Form or that are beyond legitimate business needs consistent with the permitted uses in the Terms.
3.4 Scraping
Using automated tools, scripts, bots, spiders, crawlers, or similar technologies to extract Data from the Platform, except through APIs provided by Sellerbase in accordance with applicable API terms and rate limits.
3.5 Derivative Databases
Creating standalone databases, datasets, or compilations derived primarily from Sellerbase Data for the purpose of redistribution, licensing, or sale to third parties.
3.6 Systematic Extraction
Repeated or systematic extraction of substantial portions of the database in a manner that goes beyond normal use of the Platform or that undermines the substantial investment in obtaining, verifying, or presenting the contents of the database.
4. PERSONAL DATA PROHIBITIONS
Given that Data includes personal information (including email addresses and phone numbers), Customer shall not use such personal data in any of the following ways:
4.1 Spam
Sending bulk unsolicited communications, including email, SMS, telephone calls, or other messages, in violation of:
- The General Data Protection Regulation (GDPR);
- The ePrivacy Directive (as implemented in applicable jurisdictions);
- The CAN-SPAM Act;
- The Telephone Consumer Protection Act (TCPA); or
- Any other applicable anti-spam, telemarketing, or electronic communications laws.
4.2 Harassment
Engaging in repeated unwanted contact, stalking, threatening, intimidating, or otherwise harassing any individual.
4.3 People Databases
Extracting personal data from the Platform to build standalone databases, profiles, or dossiers focused on individuals (rather than on businesses or companies).
4.4 Sensitive Profiling
Combining Data with other data sources to infer or derive protected characteristics of individuals, including:
- Race or ethnic origin;
- Political opinions;
- Religious or philosophical beliefs;
- Trade union membership;
- Genetic or biometric data;
- Health information;
- Sexual orientation; or
- Any other special categories of data under applicable law.
4.5 Debt Collection
Using contact data to locate individuals for debt collection, skip tracing, or similar collection activities.
4.6 Employment Screening
Using Data for making hiring decisions, conducting background checks, employment eligibility verification, or any other employment-related screening purposes.
4.7 Credit Decisions
Using Data as a factor in making decisions regarding credit, insurance, housing, or other eligibility determinations subject to fair credit or equal opportunity laws.
5. RATE LIMITS AND FAIR USE
5.1 Specified Limits
API rate limits and data export limits are as specified in Customer's Order Form or, if not specified, the default limits applicable to Customer's subscription plan.
5.2 Limit Adjustments
Sellerbase may adjust rate limits and usage limits with reasonable notice to Customer, except in cases of detected abuse or emergency situations requiring immediate action to protect the Platform or other customers.
5.3 Circumvention Prohibited
Attempting to circumvent, bypass, or exceed rate limits or usage restrictions through any means (including but not limited to creating multiple accounts, using proxy servers, or manipulating API requests) constitutes a violation of this AUP.
5.4 Excessive Use
Usage that significantly exceeds plan limits or that constitutes abuse of the Platform may result in:
- Temporary suspension of access pending review;
- Request for upgrade to a higher tier plan; or
- Termination in accordance with the Terms.
6. ACCOUNT SECURITY
6.1 Credential Protection
Customer must maintain the security and confidentiality of all account credentials, including usernames, passwords, and API keys.
6.2 Credential Sharing Prohibited
Sharing login credentials between multiple individuals is prohibited. Each Authorized User must have their own unique account credentials.
6.3 Prompt Notification
Customer must notify Sellerbase immediately upon discovering or suspecting any unauthorized access to Customer's account or any other security breach.
6.4 Customer Responsibility
Customer is responsible for all activities that occur under Customer's account credentials, whether authorized by Customer or not.
7. CONSEQUENCES OF VIOLATION
7.1 Sellerbase's Rights
Violations of this AUP may result in one or more of the following actions, at Sellerbase's sole discretion:
- (a) Warning: Written notice requesting immediate cessation of the violating activity and corrective action;
- (b) Temporary Suspension: Suspension of Customer's access to the Platform, in whole or in part, pending investigation or corrective action;
- (c) Permanent Termination: Termination of Customer's subscription and access to the Platform in accordance with the Terms;
- (d) Legal Action: Pursuit of legal remedies, including claims for damages, injunctive relief, and recovery of legal fees; or
- (e) Reporting: Reporting of violations to relevant law enforcement authorities, regulatory bodies, or affected third parties.
7.2 No Refunds
If Customer's subscription is terminated due to a violation of this AUP, Customer shall not be entitled to any refund of prepaid fees.
7.3 Sole Discretion
Sellerbase reserves the sole discretion to determine what constitutes a violation of this AUP and to decide the appropriate response. Sellerbase's decision not to exercise any right or remedy shall not constitute a waiver of such right or remedy.
